Terms of Service

Effective Date: October 2026

Last Updated: October 2026

These Terms of Service (“Terms”) govern access to and use of the CentrView software platform, website, applications, and related services (collectively, the “Services”).

The Services are provided by CentrView Inc., operating as CentrView (“CentrView,” “we,” “us,” or “our”).

By creating an account, starting a free trial, purchasing a subscription, or accessing or using the Services, you (“Customer,” “you,” or “your”) agree to these Terms.

If you use the Services on behalf of a company or other organization, you represent that you have authority to accept these Terms on behalf of that organization.

If you do not agree to these Terms, you must not access or use the Services.

1. The CentrView Services

CentrView is a software-as-a-service platform designed to help organizations plan, manage, analyze, and communicate marketing activities across plans, initiatives, campaigns, brands, budgets, resources, timelines, and related business information.

The Services may include planning tools, dashboards, reporting, presentation functionality, data import and export, collaboration functionality, and artificial intelligence-assisted capabilities.

Subject to these Terms and payment of applicable fees, CentrView grants Customer a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for Customer’s internal business purposes during the applicable trial or Subscription Term.

2. Accounts and Authorized Users

Customer must provide accurate and current information when creating an account.

Customer is responsible for maintaining the confidentiality of account credentials, managing Authorized User access, ensuring Authorized Users comply with these Terms, promptly removing access when it is no longer required, and notifying CentrView promptly of suspected unauthorized access.

Customer is responsible for activity conducted through its account and by its Authorized Users, except to the extent resulting from CentrView’s breach of its obligations.

Individual login credentials must not be shared between multiple individuals for the purpose of circumventing applicable user or Subscription limits.

3. Workspaces, Roles, and Permissions

CentrView allows Customers to create workspaces and, depending on the applicable Subscription, invite other Authorized Users.

Workspace administrators may manage members, roles, permissions, and workspace information.

Information entered into a workspace may be accessible to other Authorized Users according to their assigned permissions.

Where an individual accesses CentrView through an organization’s workspace, that organization may control the Customer Data contained within that workspace and the individual’s continued access to it.

4. Subscription Plans

Certain functionality requires a paid subscription (“Subscription”).

Available plans, pricing, Authorized User limits, workspace limits, features, and other applicable restrictions will be disclosed at the time of purchase or on CentrView’s pricing page.

CentrView currently offers monthly subscription options, which may include Individual and Teams plans.

CentrView may introduce, modify, or discontinue Subscription plans in the future.

Customers may not intentionally circumvent applicable Subscription limits.

5. Free Trial

CentrView may provide eligible new Customers with a 7-day free trial.

Unless expressly stated otherwise:

  • no payment card is required to begin the trial;
  • the trial does not automatically convert into a paid Subscription;
  • no Subscription fee will be charged merely because the trial expires; and
  • after expiration, access to operational portions of the Services may be restricted until Customer chooses to purchase a Subscription.

CentrView does not intentionally delete Customer Data solely because a trial expires. Retention remains subject to these Terms and the Privacy Policy.

CentrView may modify trial eligibility or promotional offers prospectively.

6. Fees, Billing, and Taxes

Subscription fees are displayed at the time of purchase.

Unless otherwise stated, fees are billed in advance, Subscriptions are billed monthly, prices are quoted in Canadian dollars, applicable taxes are additional, and fees are non-refundable except where required by applicable law or expressly provided otherwise.

Customer authorizes CentrView and its designated payment processor to charge applicable Subscription fees and taxes to the payment method provided.

CentrView may use third-party payment processors, including Stripe, to process payments.

Payment information may be collected and processed directly by the applicable payment provider. CentrView may receive information concerning Customer’s transaction, Subscription, billing status, and related payment information necessary to administer the Subscription.

7. Automatic Renewal

Paid monthly Subscriptions automatically renew each month unless cancelled before the next renewal date.

Customer authorizes the applicable recurring Subscription charge and taxes to the payment method provided at each renewal.

Cancellation prevents subsequent renewal but does not ordinarily terminate access during a Subscription period that has already been paid for.

8. Cancellation

Customer may cancel a Subscription using the billing controls provided within CentrView or by contacting info@centrview.com.

Unless otherwise required by applicable law:

  • cancellation takes effect at the end of the current paid Subscription period;
  • Customer may continue using applicable paid functionality until that date;
  • no further renewal charge will occur after cancellation becomes effective; and
  • unused portions of a monthly Subscription are generally not refundable.

Cancellation does not result in immediate deletion of Customer Data.

9. Price Changes

CentrView may change Subscription pricing from time to time.

For existing paid Customers, material price increases will generally take effect beginning with a future renewal following reasonable advance notice.

Customer may cancel its Subscription before new pricing takes effect.

10. Customer Data

“Customer Data” means information, content, records, and materials submitted to or created within the Services by or on behalf of Customer.

Customer Data may include marketing plans, initiatives, campaigns, brand information, activities, budgets, resource information, timelines, and other business information.

Customer retains ownership of Customer Data.

Customer grants CentrView a limited, non-exclusive right to host, store, reproduce, transmit, process, and otherwise use Customer Data as reasonably necessary to:

  • provide and operate the Services;
  • maintain and secure the Services;
  • provide requested functionality;
  • troubleshoot and provide support;
  • prevent fraud, misuse, and abuse;
  • maintain reasonable operational backups;
  • comply with applicable law; and
  • generate aggregated or de-identified information that does not reasonably identify Customer or an individual.

CentrView does not acquire ownership of Customer Data merely because Customer uses the Services.

CentrView will not sell Customer Data.

11. Customer Responsibilities for Data

Customer is responsible for the accuracy and legality of Customer Data, obtaining necessary permissions and consents, determining whether information may lawfully be provided to CentrView, and ensuring Authorized Users have appropriate rights to access Customer Data.

Customer must not knowingly upload information it does not have the right to disclose or process through the Services.

Unless expressly agreed otherwise, CentrView is not intended for the storage or processing of highly sensitive regulated information requiring specialized systems, regulatory controls, or contractual arrangements.

12. Artificial Intelligence Features

Certain CentrView features may use artificial intelligence or machine-learning technologies to generate summaries, observations, recommendations, analyses, or other outputs (“AI Features”).

Relevant Customer Data may be processed as necessary to provide requested AI functionality, including through service providers involved in delivering those capabilities.

AI-generated outputs may be inaccurate, incomplete, outdated, or unsuitable for a particular purpose.

Customer is responsible for reviewing AI-generated outputs before relying upon them or using them to make material business decisions.

AI Features are intended to assist human judgment and do not constitute legal, financial, accounting, or other professional advice.

CentrView may modify the technologies and service providers used to deliver AI Features.

Processing of personal information associated with AI Features is further described in the Privacy Policy.

13. Intellectual Property

CentrView and its licensors retain all rights, title, and interest in and to the Services and associated intellectual property, including software, source and object code, interfaces, designs, templates, functionality, algorithms, documentation, trademarks, logos, and system architecture.

Except for the limited right to access and use the Services under these Terms, no CentrView intellectual-property rights are transferred to Customer.

Except where expressly permitted by applicable law, Customer must not copy or reproduce the Services, reverse engineer or decompile the Services, attempt to discover source code or proprietary technology, create unauthorized derivative works, resell or sublicense access, remove proprietary notices, or otherwise use CentrView intellectual property without authorization.

14. Feedback

Customer may voluntarily provide suggestions, ideas, recommendations, or feedback regarding CentrView.

CentrView may use such feedback to develop or improve the Services without obligation or compensation to Customer.

Providing feedback does not transfer ownership of Customer Data to CentrView.

15. Acceptable Use

Customer and its Authorized Users must not use the Services to violate applicable law, engage in fraudulent or deceptive activity, infringe intellectual-property or privacy rights, gain unauthorized access to accounts or systems, introduce malicious software, interfere with the Services, circumvent security or Subscription controls, conduct unauthorized security testing, systematically scrape the Services without authorization, resell or sublicense access without permission, impersonate another person or organization, or otherwise create a material security, legal, or operational risk.

CentrView may restrict activity that presents an immediate and material risk to the Services, CentrView, Customers, or others.

16. Confidentiality

Each party may receive confidential or proprietary information belonging to the other party (“Confidential Information”).

Each party agrees to use reasonable care to protect the other party’s Confidential Information and to use it only for purposes connected with the Services or the parties’ business relationship.

Confidential Information may be disclosed to employees, contractors, professional advisers, and service providers who have a legitimate need to know and who are subject to appropriate confidentiality obligations.

Confidential Information does not include information that becomes publicly available without breach of these Terms, was lawfully known before disclosure, is independently developed without use of the Confidential Information, or is lawfully obtained from another source without confidentiality restrictions.

A party may disclose Confidential Information when required by applicable law.

17. Privacy

CentrView will collect, use, disclose, and safeguard personal information in accordance with its Privacy Policy and applicable privacy laws.

Customer remains responsible for determining its own legal obligations regarding personal information contained in Customer Data.

Where appropriate for a particular Customer relationship, CentrView and Customer may enter into a separate data-processing agreement.

18. Security

CentrView will use reasonable administrative, technical, and organizational safeguards appropriate to the nature and sensitivity of information processed through the Services.

No internet-connected service can guarantee absolute security, and CentrView does not warrant that unauthorized access, cybersecurity incidents, or other security events will never occur.

Customer is responsible for using reasonable security practices when accessing the Services, including protecting credentials and appropriately managing Authorized Users.

19. Security Incidents

If CentrView determines that a security incident involving Customer Data requires notification under applicable law, CentrView will provide notification as required by applicable law.

CentrView may provide reasonably available information concerning the nature and scope of the incident and steps taken in response.

20. Third-Party Services

The Services may depend upon or integrate with third-party services such as hosting providers, authentication providers, payment processors, communications services, analytics providers, and AI technology providers.

Third-party products and services may be subject to their own terms and privacy practices.

CentrView may change providers where reasonably necessary to operate, secure, or improve the Services.

CentrView is not responsible for failures caused solely by third-party systems outside its reasonable control.

21. Service Availability

CentrView will use commercially reasonable efforts to maintain availability of the Services.

The Services may occasionally be unavailable because of maintenance, updates, telecommunications or internet failures, hosting-provider failures, third-party services, cybersecurity events, or circumstances outside CentrView’s reasonable control.

Unless separately agreed in writing, CentrView does not guarantee a particular uptime percentage or service level.

22. Changes to the Services

CentrView may modify, improve, add, replace, or discontinue features as the product evolves.

For paid Customers, CentrView will use reasonable efforts not to materially reduce the overall core functionality of the purchased Service during a current paid Subscription period, except where reasonably necessary because of security, legal requirements, third-party dependencies, or circumstances outside CentrView’s reasonable control.

23. Data Export and Retention

During an active account, Customer may export Customer Data using export functionality made available through the Services.

Following cancellation or termination, CentrView may retain Customer Data for a limited period for legitimate operational, security, backup, legal, or compliance purposes.

CentrView may subsequently delete or anonymize Customer Data in accordance with its retention practices and applicable law.

CentrView does not promise indefinite storage of Customer Data following termination.

24. Suspension and Termination

CentrView may suspend or terminate access if Customer materially breaches these Terms, fails to pay applicable fees, engages in unlawful or fraudulent activity, creates a material security risk, materially abuses the Services, or uses the Services in a manner that threatens CentrView or other Customers.

Where reasonably practicable, CentrView will provide notice and an opportunity to remedy a breach before termination.

Immediate action may be taken where reasonably necessary to address security, fraud, legal, or serious abuse concerns.

Customer may stop using CentrView at any time and may cancel a paid Subscription as described above.

25. Effect of Termination

When access terminates, Customer’s right to use the Services ends and unpaid amounts already owed remain due.

CentrView may retain and subsequently delete Customer Data according to its retention practices.

Provisions that by their nature should survive termination remain effective, including provisions relating to intellectual property, confidentiality, payment obligations, disclaimers, limitations of liability, and dispute resolution.

26. Warranties and Disclaimers

CentrView will provide the Services in a professional and commercially reasonable manner.

Except for express commitments contained in these Terms and to the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

CentrView does not warrant that the Services will always be uninterrupted or completely error-free, that every feature will satisfy Customer’s particular requirements, that generated information will always be accurate or complete, or that the Services will be suitable for every particular business purpose.

Customer is responsible for independently evaluating important information generated through the Services.

Nothing in these Terms excludes any right, warranty, condition, or remedy that cannot legally be excluded or limited.

27. Indemnification

Customer agrees to defend, indemnify, and hold harmless CentrView and its directors, officers, employees, and affiliates from third-party claims, losses, liabilities, damages, and reasonable costs arising from Customer Data that infringes another person’s rights, Customer’s unlawful use of the Services, Customer’s material breach of these Terms, or Customer’s or its Authorized Users’ violation of applicable law.

CentrView will provide reasonable notice of an applicable claim and reasonable cooperation in its defence.

28. Limitation of Liability

To the maximum extent permitted by applicable law, CentrView and CentrView Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, anticipated savings, or business opportunities arising from or related to the Services or these Terms.

To the maximum extent permitted by applicable law, CentrView’s total aggregate liability arising from the Services or these Terms will not exceed the greater of:

  • (a) the amounts actually paid by Customer to CentrView during the twelve (12) months immediately preceding the event giving rise to the claim; or
  • (b) CAD $100.

These limitations do not apply where liability cannot legally be excluded or limited.

29. Force Majeure

Neither party will be responsible for failure or delay caused by circumstances beyond its reasonable control, other than payment obligations.

Such circumstances may include natural disasters, government actions, labour disruptions, telecommunications or internet failures, widespread cybersecurity incidents, major third-party infrastructure failures, or similar events beyond reasonable control.

30. Changes to These Terms

CentrView may update these Terms as the Services, business, or applicable legal requirements evolve.

For material changes, CentrView will provide reasonable notice through the Services, email, or another appropriate method.

Updated Terms will display a revised effective date.

Continued use of the Services after updated Terms become effective constitutes acceptance where permitted by applicable law.

31. Governing Law and Disputes

These Terms are governed by the laws of the Province of Nova Scotia and applicable federal laws of Canada, without regard to conflict-of-law principles.

Before commencing formal proceedings, the parties will attempt in good faith to resolve disputes through reasonable discussions.

Subject to mandatory rights under applicable law, disputes arising from these Terms or the Services will be subject to the courts of Nova Scotia, Canada.

Nothing prevents either party from seeking urgent relief where reasonably necessary to protect intellectual property, Confidential Information, privacy, security, or other rights.

32. Assignment

Customer may not assign these Terms without CentrView’s prior written consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of Customer’s relevant business or assets.

CentrView may assign these Terms to an affiliate or successor in connection with a merger, financing, acquisition, corporate reorganization, or sale of its business or assets.

33. Entire Agreement

These Terms, together with the applicable Subscription terms, Privacy Policy, and any separately agreed written terms expressly incorporated into these Terms, constitute the agreement between Customer and CentrView concerning the Services.

If CentrView and Customer later enter into a separately executed Order Form, Data Processing Agreement, Service Level Agreement, or other written agreement, that document may modify these Terms to the extent expressly stated.

34. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain effective.

Failure to enforce any provision does not waive the right to enforce it later.

35. Relationship of the Parties

Customer and CentrView are independent contracting parties.

These Terms do not create a partnership, joint venture, employment, franchise, agency, or fiduciary relationship between the parties.

36. Electronic Acceptance

Electronic acceptance of these Terms is binding to the extent permitted by applicable law.

Acceptance may include creating an account after being presented with these Terms, selecting an acceptance control, purchasing a Subscription, or otherwise electronically agreeing to the Terms.
